Plaintiff (Jim Sherwood) attempted to impose additional conditions precedent by
requesting business related documents to provide his lender. These documents were NOT
required by the deliverables clause of the contract. Plaintiff’s (Jim Sherwood) request are
better evidence that he could not meet requests of his lending sources or he was unable or
unwilling to close on the contracted date of September 30, 2005.
And attempts by Plaintiff (Jim Sherwood) to improperly assert breach for “Deliv-
erables” that were not required by the contract, demonstrate that Plaintiff (Jim Sherwood)
did not have the intent or ability to close on the contracted date.
COUNT 2 Breach of contract. Plaintiff (Jim Sherwood) failed to establish a
material breach on the part of the Defendant (Ed Oesterle) and is not entitled to monetary
damages.
COUNT 3 Tortious Interference. The Court finds that the intent of the contract
was for the Plaintiff (Jim Sherwood) to purchase the Defendants (Ed Oesterle) property.
Among other findings, Plaintiff (Jim Sherwood) did not establish at trial that the Defendant
(Ed Oesterle) unjustifiably interfered with any specific business relationship on or before
the date the contract was to be executed on September 30, 2005.
